Please read these terms carefully before using our Services.
These Terms & Conditions ("Terms") govern your access to and use of the CRM platform, websites, integrations, APIs, and related services provided by Stellar Code System("we," "our," or "us"), collectively the "Services." By creating an account, accessing, or using the Services, you agree to these Terms.
1. Eligibility and Account
You must be legally capable of entering into a binding agreement.
You are responsible for all activity under your account credentials.
You must provide accurate information and promptly update it when changes occur.
You are responsible for maintaining account security and notifying us of unauthorized access.
2. Services and Acceptable Use
You may use the Services only for lawful business purposes and in compliance with applicable laws.
You must not misuse the Services, including spam, unlawful messaging, fraud, reverse engineering, or attempts to disrupt system integrity.
You are responsible for obtaining necessary consents for customer communications (including WhatsApp, email, SMS, and related channels).
3. Customer Data
You retain ownership of your customer, lead, and business data submitted to the Services.
You grant us a limited right to process that data solely to operate, maintain, and improve the Services and fulfill legal obligations.
You represent that you have lawful rights to upload and process all data you submit.
4. Integrations and Third-Party Services
The Services may integrate with third-party platforms (for example Meta/WhatsApp and others). Your use of such integrations is subject to those third-party terms and policies. We are not responsible for third-party platform outages, policy changes, or service restrictions.
5. Fees, Billing, and Taxes
Paid plans, usage-based charges, credits, and add-ons (if applicable) are billed as described in your order, plan page, or invoice.
You authorize us (or our payment processor) to charge applicable fees, taxes, and renewals.
You are responsible for all applicable taxes, duties, and government levies unless stated otherwise.
6. No Refund Policy
Important Notice
All payments are final and non-refundable, including subscription fees, usage charges, setup fees, and prepaid credits, except where refunds are required by applicable law or where we expressly agree otherwise in writing. Partial billing periods are not refundable unless required by law.
7. Term, Suspension, and Termination
These Terms apply while you use the Services.
You may stop using the Services at any time; cancellation rules follow your billing plan.
We may suspend or terminate access for security risks, non-payment, policy violations, or legal reasons.
8. Intellectual Property
The Services, software, branding, and related materials are owned by Stellar Code System and its licensors, and are protected by intellectual property laws. Except for limited rights granted under these Terms, no rights are transferred to you.
9. Confidentiality
Each party may receive confidential information from the other. Both parties agree to use confidential information only for the purpose of this relationship and to protect it with reasonable care.
10. Disclaimer of Warranties
The Services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
11. Limitation of Liability
To the maximum extent permitted by law, Stellar Code System will not be liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, data, goodwill, or business interruption. Our aggregate liability arising out of or related to the Services will not exceed the amounts paid by you for the Services in the 12 months preceding the event giving rise to the claim.
12. Indemnity
You agree to defend, indemnify, and hold harmless Stellar Code System from claims, liabilities, damages, and expenses arising out of your use of the Services, your data, your communications, or your violation of these Terms or applicable law.
13. Changes to Terms
We may update these Terms from time to time. Material changes will be posted with an updated effective date. Continued use of the Services after changes become effective constitutes acceptance of the updated Terms.
14. Governing Law and Dispute Resolution
These Terms are governed by the laws of India, without regard to conflict of law principles. Courts located in Ahmedabad, Gujarat, India will have exclusive jurisdiction over disputes, subject to any non-waivable consumer rights under applicable law.
